These Terms of Use ("Terms") govern your access to and use of www.merakaizen.com (the "Site"), operated by Merakaizen LLC, a New Jersey limited liability company ("Merakaizen," "we," "us," or "our"). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

The Site and Our Services

The Site provides information about Merakaizen and its creative operations consulting and coaching services, and allows you to contact us, sign up for our newsletter, and (where available) request or schedule a call, read our blog, and participate in community features. We may add, change, or remove features of the Site at any time.

Eligibility

By accessing or using the Site, you represent that you are at least 18 years old (or the age of majority in your jurisdiction) and able to form a legally binding agreement. The Site is intended for a professional, adult audience and is not directed to children.

No Professional Advice; No Consulting Relationship

Reading the Site, contacting us, or signing up for our newsletter does not create a consulting, coaching, or other professional relationship between you and Merakaizen. Such a relationship is formed only through a separate written agreement signed by both parties. Unless otherwise noted, all content on the Site, including text, graphics, logos, images, and the “Merakaizen” name and branding, is owned by or licensed to Merakaizen and is protected by copyright, trademark, and other intellectual property laws. You agree not to post content that is unlawful, defamatory, harassing, infringing, obscene, or otherwise objectionable. We may remove, edit, or refuse to post any User Contribution at our discretion, and may restrict or terminate access for anyone who violates these Terms. We are not responsible for content posted by users and do not endorse it.

Copyright Infringement (DMCA)

We respect intellectual property rights. If you believe content on the Site infringes your copyright, please send a written notice to hello@merakaizen.com that includes: (a) your physical or electronic signature; (b) identification of the copyrighted work you claim has been infringed; (c) identification of the material you claim is infringing and its location on the Site; (d) your address, telephone number, and email address; (e) a statement that you have a good-faith belief the use is not authorized; and (f) a statement, made under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the owner’s behalf. We may remove infringing material and terminate access for repeat infringers.

The Site may link to or integrate third-party websites and services, such as scheduling, email, or social media tools. We do not control and are not responsible for the content, policies, or practices of those third parties. Your use of them is governed by their own terms and policies.

Disclaimer of Warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MERAKAIZEN AND ANGELA MASTANDREA WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Indemnification

You agree to indemnify and hold harmless Merakaizen and Angela Mastandrea from any claims, damages, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of your use of the Site or your violation of these Terms.

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of New Jersey, United States, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in New Jersey.

Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective” date above. Your continued use of the Site after changes take effect constitutes your acceptance of the revised Terms.
